1. Agreement to these terms

By accessing or using BoozExchange (the "Platform"), including our website, applications, integrations with third-party services (such as social or publishing tools you connect to our brand), and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Who we are

3. Eligibility

You must be at least the age of majority in your jurisdiction to use the Platform. Where alcohol-related content or marketplace features are involved, you must also comply with applicable laws regarding legal drinking age and responsible promotion. We may refuse or terminate access where we reasonably believe requirements are not met.

4. Description of services

The Platform may include, without limitation: product discovery and comparison tools; links or contact paths to third-party retailers or suppliers; merchandise ("Booz Gear") and related checkout where offered; digital collectibles or NFT features; rewards, staking, or token-related interfaces where available; messaging between users; subscriptions or tiered access; and administrative or merchant tools. Features may change over time. We do not guarantee uninterrupted or error-free operation.

For alcohol listings, unless we expressly state otherwise on a given flow, purchases of alcoholic products are completed with third parties; we are not the seller of those products in that context. Your contract for alcohol is with the relevant retailer or supplier and their terms apply to that transaction.

5. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us promptly of any unauthorised use. We may suspend or close accounts that violate these Terms or pose risk to the Platform or other users.

6. Payments, subscriptions, and merchandise

Paid features (including subscriptions and Booz Gear orders) are subject to the pricing, billing, and refund rules shown at checkout or in separate subscription terms where we provide them. Taxes and shipping may apply as disclosed. Failure to pay may result in suspension of paid features.

7. Digital assets, tokens, and blockchain

Where the Platform interacts with digital assets, tokens, wallets, or blockchain networks, you acknowledge volatility, smart-contract, and operational risks. We do not provide investment, tax, or legal advice. Past performance of any token or asset is not indicative of future results. You are solely responsible for compliance with laws applicable to you and for securing your wallets and keys.

8. User conduct and content

You agree not to:

• Violate applicable law or infringe others' rights;
• Upload malware, scrape or overload our systems without permission, or circumvent security;
• Harass, threaten, or defraud users or staff;
• Use the Platform to market alcohol unlawfully or to minors;
• Misrepresent affiliation with BoozExchange or impersonate another person or entity.

Messaging and dispute processes may be subject to additional rules shown in-product. We may remove content or restrict features where we reasonably believe these Terms or the law are breached.

9. Intellectual property

The Platform, branding, logos, software, and content we provide are owned by us or our licensors and are protected by intellectual property laws. You receive a limited, revocable licence to use the Platform for personal or, where applicable, authorised business use in line with these Terms. You may not copy, modify, or exploit our materials except as expressly permitted.

10. Third-party services and integrations

The Platform may link to or integrate with third-party websites, apps, social networks, analytics, payment processors, or publishing tools. Those services are governed by their own terms and privacy policies. We are not responsible for third-party content, availability, or practices. When you connect our brand or content to external platforms (for example, for marketing or social posting), you must comply with those platforms' policies as well as these Terms.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that search results, prices, or third-party listings are accurate, complete, or current.

12. Limitation of liability

To the maximum extent permitted by applicable law, we and our affiliates, directors, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform. Our aggregate liability for claims relating to the Platform shall not exceed the greater of (a) the amount you paid us for the service at issue in the twelve months before the claim or (b) one hundred pounds sterling (GBP 100), except where liability cannot be limited by law.

13. Indemnity

You will defend, indemnify, and hold harmless BoozExchange and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your breach of these Terms, except to the extent caused by our wilful misconduct.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may, where required by law, be communicated by additional means. Continued use after the effective date constitutes acceptance of the revised Terms.

15. Suspension and termination

We may suspend or terminate access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or harms users, us, or third parties. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The courts of England and Wales shall have exclusive jurisdiction over disputes arising from or relating to these Terms, subject to any mandatory rights you may have as a consumer in your country of residence.
